1. General Terms
- By using UWINDI LLC’s services and making a payment, you confirm that you have read, understood, and agreed to these Terms of Service. These terms apply to all website development, SEO, branding, and digital marketing services provided by UWINDI LLC (the “Company”).
- All official communication, approvals, and discussions must take place via the email specified in the invoice or within UWINDI LLC’s project management system (UpBase). Messages exchanged in UpBase hold the same legal weight as email correspondence.
- We primarily use UpBase to ensure transparency and structured communication, however, we remain flexible based on client needs.
2. Payment & Invoicing
- All services require upfront payment for clearly defined work blocks. We do not work on credit or deferred payment terms.
- Payment agreements confirmed via email from our official company address are legally binding.
- Payments are structured by project stages (e.g., design, development, deployment). Each stage must be fully paid before work begins. Once a stage is completed, it is considered accepted and non-refundable in accordance with the feedback period outlined in these Terms.
- Payments must be made within the timeframe stated in the invoice. Late payments may result in project delays or service suspension.
- Prepayments are generally non-refundable. However, if a project is canceled before work starts, a partial refund may be issued on a case-by-case basis after deducting administrative costs.
- In some cases, we allow structured payments over a set period, typically up to 6 months, with an additional administrative fee. This is not an installment plan but a payment schedule, with the full amount due regardless of project status.
- Late payments over 15 days may incur a 2% monthly fee. If payments are overdue by 30+ days, we reserve the right to pursue legal remedies or engage a collection agency.
- A discount may be available for full upfront payments; eligibility is determined case-by-case.
- Credit card payments are subject to a processing fee:
- 2.9% for Visa/Mastercard/Discover;
- 3.4% for Amex.
3. Web Development Terms
- Clients must provide necessary materials and feedback promptly. Delays may affect project timelines.
- The scope includes the agreed number of pages, design, features, and a set number of revisions. Additional work requires an extra payment.
- UWINDI LLC may place a small “Made by Uwindi Web Agency” credit link in the website footer.
- We are not responsible for third-party software failures, hosting issues, or security breaches unless covered under a maintenance plan.
- After each stage, the client has 10 business days to provide feedback. If none is received, the work is considered accepted.
- We provide a 12-month technical guarantee for bug fixes, provided that no third party modifies the source code. This does not cover new features.
- Any changes to scope, features, or requirements not included in the original agreement will require a separate written approval and additional payment. UWINDI LLC is not obligated to perform out-of-scope work without a new invoice being paid.
- UWINDI LLC does not guarantee uptime, scalability, server performance under high traffic, or compatibility with future third-party updates unless explicitly covered under a maintenance agreement with UWINDI LLC.
4. Technical Support & Maintenance
UWINDI LLC provides website support and maintenance based on the selected package.
- Support includes CMS and plugin updates, server and security management, backups, bug fixes, and performance monitoring as defined in the selected plan.
- Submit support requests via UpBase, email, or online chat. Response times range from 4 hours (emergencies) to 2-3 days (standard requests).
- Work beyond the maintenance package is billed separately.
- Without a maintenance plan, UWINDI LLC is not responsible for website failures, security breaches, or outdated software. However, support can be provided upon request at an hourly rate.
- Clients must provide a 15-day written notice to cancel monthly website maintenance services.
5. SEO Services Terms
- SEO services are delivered as per the selected package.
- Delays in providing access, content, or approvals can impact results.
- SEO is an ongoing process, and early termination may affect progress.
- We do not guarantee rankings, as search engine algorithms and market competition influence outcomes.
- Our SEO strategies follow best practices, but we are not liable for penalties from past violations or algorithm changes.
- Unauthorized website changes may harm SEO performance. UWINDI LLC is not responsible for any ranking drops or traffic losses caused by unauthorized modifications.
6. Branding & Design Terms
- Logo design, brand guidelines, and visual identity elements are provided per the agreed package.
- Clients receive a set number of design concepts and revisions per the agreed package. Additional revisions or extra work are billed separately.
7. Intellectual Property, Portfolio & Confidentiality
- Ownership of all final designs, source code, and deliverables transfers to the client only after full payment of all outstanding invoices.
- UWINDI LLC reserves the right to showcase completed projects in its portfolio, social media, and promotional materials.
- Clients are responsible for ensuring that any materials they provide (e.g., images, text, videos) do not violate third-party copyrights. UWINDI LLC is not liable for unauthorized use of such materials.
- Both parties agree not to disclose confidential or proprietary information to third parties. Confidentiality covers trade secrets, financial data, and proprietary business materials.
- UWINDI LLC is open to signing an NDA upon request.
8. Termination & Cancellation
- Either party may terminate the agreement with 15 days’ written notice. If the client cancels, all completed and prepaid work is considered delivered, and no refunds will be issued.
- If UWINDI LLC cannot complete a project due to unforeseen circumstances, a partial refund may be issued based on the unfinished work.
- If the client remains inactive for 30 days, including failure to provide required materials or feedback on completed stages, the project is put on hold, and all completed work is deemed delivered.
- If the client pauses the project or remains inactive for more than 30 days, UWINDI LLC reserves the right to revise timelines, pricing, and availability.
9. Governing Law
- Force majeure events (e.g., natural disasters, government actions, severe technical failures) do not release the client from payment obligations for completed work. However, partial refunds may be considered based on circumstances.
- Non-payment due to financial difficulties is not considered a force majeure event.
- The laws of Texas and the United States govern these Terms. In a dispute, both parties agree to first attempt resolution through good-faith negotiation. If no resolution is reached, mediation or arbitration may be considered before pursuing legal action.
- UWINDI LLC’s total liability is limited to the amount paid by the client in the last 30 days. We are not liable for lost profits, business interruption, or indirect damages.
